These Terms and Conditions ("Terms") govern your access to and use of the Sterling & Wilson Application ("Application"), owned and operated by Sterling & Wilson Private Limited ("Sterling & Wilson", "we", "us", or "our"). By logging in or otherwise accessing the Application, you agree to be bound by these Terms. If you do not agree, you must not access or use the Application.

1. Authorized Use

Access to this Application is granted solely to authorized users — employees, administrators, and approved external parties — for the purpose of conducting legitimate Sterling & Wilson business activities. You may only use the Application for the purposes for which your account has been provisioned. Any other use is strictly prohibited.

You agree that you will not:

  • Access or attempt to access accounts, data, or systems for which you are not authorized
  • Use the Application for any unlawful, fraudulent, or malicious purpose
  • Share, transfer, or disclose your login credentials to any other person
  • Attempt to probe, scan, exploit, or test the security or vulnerability of the Application or its infrastructure
  • Introduce malware, viruses, or any other harmful code into the Application or its underlying systems
  • Attempt to reverse-engineer, decompile, or disassemble any component of the Application
  • Copy, reproduce, distribute, or commercially exploit any content or functionality of the Application without prior written consent
2. User Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality and security of your login credentials, including your password and OTP
  • All activities conducted under your account, whether or not authorized by you
  • Reporting any unauthorized access, suspected credential compromise, or security incident to the IT Security team immediately
  • Ensuring that the information you submit through the Application is accurate, current, and complete
  • Logging out of the Application when your session is complete, particularly on shared or public devices
3. Confidentiality

All information accessed through this Application — including organizational data, financial records, project data, personnel information, and any other business information — is confidential and proprietary to Sterling & Wilson. You agree to:

  • Keep all such information strictly confidential and not disclose it to any unauthorized person
  • Use confidential information solely in connection with your authorized duties
  • Return or securely destroy confidential information upon termination of your access or upon request

Confidentiality obligations under these Terms survive the termination or expiry of your access to the Application.

4. Intellectual Property

The Application, including its design, software, source code, features, content, and documentation, is the exclusive intellectual property of Sterling & Wilson Private Limited and its licensors. Nothing in these Terms grants you any ownership right, title, or interest in the Application or any of its components. All rights not expressly granted herein are reserved by Sterling & Wilson.

5. Access Control and Account Management

Sterling & Wilson reserves the right to:

  • Suspend or terminate your access at any time, with or without notice, if there is a suspected breach of these Terms or organizational policy
  • Modify, restrict, or revoke access permissions in line with changes to your role or employment status
  • Monitor, log, and audit all activity within the Application for security, compliance, and operational purposes
  • Take appropriate disciplinary, legal, or remedial action in response to misuse or policy violations

Users have no expectation of privacy in their use of the Application. All access and usage is subject to monitoring in accordance with applicable law and organizational IT security policy.

6. Limitations of Liability

To the fullest extent permitted by applicable law, Sterling & Wilson shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Application. This includes but is not limited to loss of data, loss of business opportunity, or system downtime, regardless of whether Sterling & Wilson was advised of the possibility of such damages.

The Application is provided for internal business use on an "as is" and "as available" basis. Sterling & Wilson does not warrant that the Application will be error-free, uninterrupted, or free from security vulnerabilities at all times.

7. Compliance with Applicable Laws

Your use of the Application must comply with all applicable local, national, and international laws and regulations, including but not limited to data protection laws, IT security legislation, employment regulations, and anti-corruption statutes. You are responsible for understanding and adhering to the legal obligations relevant to your role and jurisdiction.

8. Consequences of Breach

Any breach of these Terms may result in immediate suspension or termination of your Application access. Depending on the severity of the breach, Sterling & Wilson may also pursue disciplinary action in accordance with applicable employment policies, civil remedies, or criminal prosecution under applicable law. You agree to indemnify and hold harmless Sterling & Wilson from any loss, liability, or expense arising from your violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

10. Changes to These Terms

Sterling & Wilson reserves the right to update or modify these Terms at any time. Users will be notified of material changes through the Application or by other appropriate means. Continued use of the Application following notification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
